RESOLUTION NUMBER 2003-32<:-
A RESOLUTION APPROVIN'G, ADOPTING AND AUT.HORIZING AMENDMENTS TO
THE BYLAWS P AND ARTICLES OF INCORPORATION OF FRIENDS OF WEST
UNIVERSITY PAR1(S FUND, A T.EXAS NON-PROFIT CORPORATION~ AN'O
CONTAINING FINDIN'GS AND PROVISIONS RELATING TO THE SUBJECT
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WEST UNIVERSITY PLACE:
Section 1. The City Council hereby approves, adopts and authorizes alnendn1ents to
the bylaws and articles of incorporation of Friends of West University Parks Fund, a Texas nOI1-
profit corporation, in the fonn attached to this resolution and Iuade a part hereof for all purposes.
Section 2. The officers of the City are authorized and directed to do all things
necessary and proper in connection with the approval and filing of such dOCtllnents.
Section 3. All resolutions and parts of resolutions in conflict herewith are hereby
repealed to the extent of the conflicts only.
Section 4. If any word, phrase, clause, sentence, paragraph, section or other part of
this resolution or the application thereof to any person or CirCU1TIstance, shall ever be held to be
inval id or unconstitutional by any court of cOlnpetent jurisdiction, the remainder of this reso lution
and the application of such word, phrase, clause, sentence, paragraph, section or other pal1 of this
resolution to any other persons or c'irCU111stances shall not be affected thereby.
Section 5. The C:ity Council officially finds, deternlines and declares that a sufficient
written notice of the date, hour, place and subject of each lueeting at which this resolution was
d.iscussed, considered or acted upon was given in the Inanner required by the Texas Open
Meetings Act, as alnended, and that each such 111eeting has been open to the public as required by
law at all tilues during slIch discussion, consideration and action. The City Council ratifies,
approves and confinns such notices and the contents and posting thereof.
