Board of Directors' Meeting
September 1, 1993
MINUTES

1. Treasurer's Report - $79,758.68
2. Approval of minutes of last meeting (noted that Jeanne Marosis's name mispelled);
motion by Mike Tanner; second by Larry Massey; unanimous approval.
3. Change in bylaws to: 1) raise number of members to as many as twenty-one (21); change
designation of the ex officio member from City Manager to Parks & Recreation Director;
3) allow board members to vote by written proxy; and 4) set the number of members for
a quorum (more detail attached); motion by Larry Massey; second by Carol Burke;
passed unanimously.
4. Committee Reports:
a. Foundations
Ross Frazer reported he had been in touch with Barbara Snyder of the Wortham
Foundation. Ms. Snyder is interested in a site visit. That date is tentatively
scheduled for September. Ross Frazer is to contact Ms. Snyder the week of
9/6/93 for finalization of the date, time & place.
b. Parkfest
Still looking for a chairperson; Larry Massey has some leads; Mark Mailes will
assist.
C. Park Lovers' Ball
Gayle Jackson (1994 PLB Chairman) was unable to attend the meeting, but sent
lists of leads for auction donation items. These were handed out with instructions
that FWUP & PRB members coordinate indicate which vendors or items they will
solicit. The lists are to be returned to Gayle when complete.
d. Grassroots (Pavers, T-shirts, etc.)
i. Pavers - Mark Spradling gave a rundown of the "Park Paver"
campaign

This meeting (9/1/93) was held to introduce the new board members and finalize the
changes in bylaws and articles of incorporation discussed in the previous meeting (8/4/93).
These changes are described in detail in the following pages. The amendments 1) raise
number of members to at least eleven (11) but no more than twenty-one (21); change designation
of the ex officio member from City Manager to Parks & Recreation Director; 3) allow board
members to vote by written proxy; 4) set the number of members for a quorum; 5) change the
registered agent from Curtis Cooper to the City Manager of the city of West University Place,
TX.
